California Leads Multi-State Legal Challenge Against Paramount–Warner Bros. Deal

California has joined forces with 11 other U.S. states in an effort to block Paramount’s proposed $110 billion acquisition of Warner Bros. Discovery, setting up one of the most significant antitrust battles the entertainment industry has faced in years. The lawsuit, filed in federal court, argues that the deal would create an entertainment giant with excessive influence over film distribution and television programming, ultimately harming consumers and industry competition.

The legal action is being led by California Attorney General Rob Bonta, whose office contends that allowing two of Hollywood’s biggest studios to combine would reduce market competition and leave audiences with fewer choices. States Raise Competition Concerns

State attorneys general argue that the proposed transaction would reshape the U.S. entertainment landscape by combining two major studios that have competed for decades.

If completed, the merged company would control more than a quarter of major theatrical film releases. Regulators also point to the growing concentration of the industry, noting that only four major media companies—including Disney, Universal and Sony alongside the merged entity—would account for roughly 86% of the theatrical film market.

The lawsuit further alleges that such consolidation could reduce incentives to compete on pricing, content quality and programming diversity, while affecting movie theaters, television distributors and workers across the media sector.

Headquarters Relocation Report Draws Attention

The legal dispute has also been accompanied by controversy over reports that advisers to Paramount Skydance chief executive David Ellison have encouraged the company to consider moving its operations outside California.

Responding to those reports, Attorney General Bonta said he viewed the suggestion as an attempt to pressure regulators during the merger review process. He rejected any implication that such a move would influence California’s legal position, saying the lawsuit would proceed based on competition concerns. Paramount has not confirmed that it plans to relocate its operations.

A Historic Hollywood Combination

The proposed merger would unite two of Hollywood’s most recognizable studios, ending a rivalry that has shaped the entertainment business for generations.

Together, Paramount and Warner Bros. Discovery own some of the industry’s best-known franchises, including Harry Potter, Batman, Mission: Impossible and Top Gun. Their combined portfolio would also include major television brands and news networks such as CNN, MTV, Nickelodeon and CBS, giving the new company a broad presence across film, television and streaming.

Supporters of the transaction argue that combining resources would strengthen the company against growing competition from global streaming platforms and technology companies. Paramount has maintained that the lawsuit misinterprets antitrust law and that the merger would ultimately benefit audiences by creating a stronger competitor in the evolving media market.

The lawsuit introduces a major legal hurdle for the transaction even after the deal received support from federal regulators. The case seeks to prevent the merger from closing while antitrust claims are considered in court, a process that could take several months.
